These Terms do not govern the provision of legal services, which are exclusively governed by a separate written engagement letter, as required under the Advocates Act (Cap. 16, Laws of Kenya) and the rules of the Law Society of Kenya.

Any legal services provided pursuant to a separate engagement letter will be performed with the competence and diligence expected of Kenyan advocates, in accordance with the Advocates Act and applicable professional conduct rules, as further set out in that engagement letter.
To the fullest extent permitted under Kenyan law, our liability arising out of or relating to your use of this website (as distinct from the provision of legal services under a separate engagement letter) is limited to direct damages actually incurred. We do not seek to limit liability for fraud, gross negligence, wilful misconduct, or any liability that cannot lawfully be excluded or limited. Liability arising from the provision of legal services — including professional negligence or breach of a fiduciary or professional duty — is addressed separately in the relevant engagement letter and is not affected by this section.

Termination of an advocate-client relationship, where one exists, is governed exclusively by the relevant engagement letter and the rules of the Law Society of Kenya, not by this section.
We are not liable for any failure or delay in making this website available due to circumstances beyond our reasonable control, including natural disasters, civil unrest, acts of government, or internet service disruptions. This section applies only to the availability of the website and does not affect any obligations relating to legal representation, which are governed by the relevant engagement letter.
These Terms are governed by the laws of the Republic of Kenya. Before initiating arbitration or litigation, the parties agree to first attempt in good faith to resolve any dispute arising out of or relating to these Terms or your use of this website through informal negotiation.
If a dispute cannot be resolved informally, it will be referred to and finally resolved by arbitration in Nairobi, Kenya, in accordance with the Arbitration Act, 1995 (as amended), unless the parties agree to a different forum, or unless either party is entitled to bring the matter before the Small Claims Court under the Small Claims Court Act, 2016, or to seek injunctive or equitable relief from a court of competent jurisdiction in respect of intellectual property or confidentiality. This section does not apply to disputes concerning legal fees, professional negligence, or the advocate-client relationship, which are governed by the relevant engagement letter and applicable Kenyan law, including any applicable rules on advocate-client fee disputes under the Advocates Act.
The provisions of these Terms relating to Intellectual Property, Limitation of Liability, and Dispute Resolution survive the termination of these Terms. Obligations relating to legal representation — including confidentiality, work product ownership, and fee payment — are governed by the relevant engagement letter and continue under its own terms.
Personal information provided through this website is handled in accordance with our Privacy Policy and the Data Protection Act, 2019 (Kenya), which is incorporated here by reference.
These Terms constitute the entire agreement between you and Acclivis Legal regarding your access to and use of this website, and supersede any prior understanding regarding that access and use. These Terms do not govern legal services, which are exclusively governed by a separate written engagement letter. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision of these Terms is not a waiver of that provision.
